A<\/span>rticle 6 &#8211; Protection des donn\u00e9es personnelles<\/p>\n<p>[\/et_pb_text][et_pb_text _builder_version=\u00a0\u00bb4.19.4&Prime; _module_preset=\u00a0\u00bbdefault\u00a0\u00bb text_font=\u00a0\u00bbPoppins||||||||\u00a0\u00bb text_text_color=\u00a0\u00bb#333c5c\u00a0\u00bb custom_margin=\u00a0\u00bb20px||||false|false\u00a0\u00bb global_colors_info=\u00a0\u00bb{}\u00a0\u00bb]<\/p>\n<p><strong>HUMANFAB <\/strong>s&rsquo;engage \u00e0 fournir les prestations command\u00e9es par le <strong>CLIENT<\/strong> dans le bon de commande, conform\u00e9ment \u00e0 leurs descriptions \u00e0 l\u2019article 4 du pr\u00e9sent contrat.<\/p>\n<p><strong>HUMANFAB<\/strong> s\u2019engage \u00e0 mettre en \u0153uvre les moyens techniques et humains n\u00e9cessaires pour assurer le bon fonctionnement du Serveur permettant l\u2019acc\u00e8s et l\u2019utilisation du logiciel HUMANFAB WORKCARE (smartphone) 24h\/24 et 7jours\/7, sous r\u00e9serve des exceptions stipul\u00e9es dans les pr\u00e9sentes Conditions Particuli\u00e8res ou les CGV.<\/p>\n<p>Pour ce faire, <strong>HUMANFAB<\/strong> assurera l\u2019h\u00e9bergement du serveur de mani\u00e8re \u00e0 satisfaire la charge des demandes de consultations du <strong>CLIENT<\/strong> et des salari\u00e9s, quel que soit leur volume en termes de liaisons et de capacit\u00e9 mat\u00e9rielle.<\/p>\n<p>Compte tenu de la nature et de la complexit\u00e9 des technologies mises en \u0153uvre pour l&rsquo;ex\u00e9cution du Contrat, notamment de la complexit\u00e9 d\u2019Internet, de l\u2019in\u00e9galit\u00e9 des capacit\u00e9s des diff\u00e9rents r\u00e9seaux, de l\u2019afflux \u00e0 certaines heures des Utilisateurs, des diff\u00e9rents \u00ab goulots d\u2019\u00e9tranglement \u00bb sur lesquels <strong>HUMANFAB<\/strong> n\u2019a pas de ma\u00eetrise.<\/p>\n<p>Chaque Partie s\u2019engage \u00e0 apporter tout le soin raisonnablement possible \u00e0 l&rsquo;ex\u00e9cution du Contrat,<\/p>\n<p>Reconna\u00eet que le Service fourni ne peut \u00eatre exempt d\u2019anomalies, de d\u00e9faillances, d\u2019interruptions et d\u2019indisponibilit\u00e9s.<\/p>\n<p>Dans ce contexte, <strong>HUMANFAB<\/strong> ne saurait \u00eatre tenue en aucun cas pour responsable\u00a0:<\/p>\n<p>&#8211; des vitesses d\u2019acc\u00e8s et de connexion du r\u00e9seau de t\u00e9l\u00e9communication,<\/p>\n<p>&#8211; des ralentissements externes. Par \u00ab externe \u00bb, il est entendu depuis le <strong>CLIENT<\/strong> ou le salari\u00e9 jusqu\u2019au fournisseur d\u2019acc\u00e8s internet de <strong>HUMANFAB<\/strong>,<\/p>\n<p>&#8211; des mauvaises transmissions dues \u00e0 une d\u00e9faillance ou \u00e0 un dysfonctionnement des r\u00e9seaux ou \u00e9quipements dont elle n\u2019a pas la ma\u00eetrise ou ne\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0r\u00e9sultant pas d\u2019une acquisition ou d\u2019une contractualisation de la part de <strong>HUMANFAB<\/strong>.<\/p>\n<p>[\/et_pb_text][et_pb_text _builder_version=\u00a0\u00bb4.16&Prime; text_font=\u00a0\u00bbPoppins|800|||||||\u00a0\u00bb text_text_color=\u00a0\u00bbrgba(0,11,51,0.8)\u00a0\u00bb text_font_size=\u00a0\u00bb30px\u00a0\u00bb text_line_height=\u00a0\u00bb1.5em\u00a0\u00bb header_font=\u00a0\u00bbWork Sans|300|||||||\u00a0\u00bb header_font_size=\u00a0\u00bb90px\u00a0\u00bb header_line_height=\u00a0\u00bb1.2em\u00a0\u00bb background_layout=\u00a0\u00bbdark\u00a0\u00bb max_width_tablet=\u00a0\u00bb\u00a0\u00bb max_width_phone=\u00a0\u00bb\u00a0\u00bb max_width_last_edited=\u00a0\u00bbon|desktop\u00a0\u00bb custom_margin=\u00a0\u00bb0px||0px||true|false\u00a0\u00bb custom_padding=\u00a0\u00bb0px||0px||true|false\u00a0\u00bb text_font_size_tablet=\u00a0\u00bb30px\u00a0\u00bb text_font_size_phone=\u00a0\u00bb30px\u00a0\u00bb text_font_size_last_edited=\u00a0\u00bbon|phone\u00a0\u00bb header_font_size_tablet=\u00a0\u00bb40px\u00a0\u00bb header_font_size_phone=\u00a0\u00bb28px\u00a0\u00bb header_font_size_last_edited=\u00a0\u00bbon|phone\u00a0\u00bb global_colors_info=\u00a0\u00bb{}\u00a0\u00bb text_font_size__hover=\u00a0\u00bb14px\u00a0\u00bb text_font_size__hover_enabled=\u00a0\u00bb14px\u00a0\u00bb]<\/p>\n<p><span style=\"color: #2ba6b1;\">A<\/span>rticle 7 &#8211; Obligations du client<\/p>\n<p>[\/et_pb_text][et_pb_text _builder_version=\u00a0\u00bb4.16&Prime; _module_preset=\u00a0\u00bbdefault\u00a0\u00bb text_font=\u00a0\u00bbPoppins||||||||\u00a0\u00bb text_text_color=\u00a0\u00bb#333c5c\u00a0\u00bb custom_margin=\u00a0\u00bb20px||||false|false\u00a0\u00bb global_colors_info=\u00a0\u00bb{}\u00a0\u00bb]<\/p>\n<p>Le <strong>CLIENT<\/strong> s\u2019engage \u00e0 collaborer de bonne foi avec <strong>HUMANFAB<\/strong> pour la bonne ex\u00e9cution du pr\u00e9sent contrat.<\/p>\n<p>Le <strong>CLIENT<\/strong> s\u2019engage, dans les meilleurs d\u00e9lais d\u00e8s r\u00e9ception de la confirmation de commande et avant le d\u00e9but de toute prestation, \u00e0 informer les salari\u00e9s qu\u2019ils devront fournir \u00e0 <strong>HUMANFAB<\/strong> un certificat m\u00e9dical d\u2019aptitude \u00e0 l\u2019exercice physique afin de pouvoir b\u00e9n\u00e9ficier du Service.<\/p>\n<p>Le <strong>CLIENT<\/strong> s\u2019engage \u00e0 inscrire dans un d\u00e9lai raisonnable d\u00e8s r\u00e9ception de la confirmation de commande les salari\u00e9s sur la plateforme HUMANFAB WORKCARE via le dashboard.<\/p>\n<p>Le <strong>CLIENT<\/strong> s\u2019engage \u00e0 utiliser le logiciel HUMANFAB WORKCARE dans le respect des instructions fournies par <strong>HUMANFAB<\/strong>.\u00a0 Ces instructions sont compos\u00e9es\u00a0:<\/p>\n<p>&#8211; de l\u2019ensemble de la documentation relative \u00e0 l\u2019utilisation dudit logiciel disponible sur le site workapp.humanfab.com ;<\/p>\n<p>&#8211; des \u00e9ventuelles consignes orales ou \u00e9crites donn\u00e9es par <strong>HUMANFAB<\/strong>.<\/p>\n<p>Sauf faute de <strong>HUMANFAB<\/strong>, le <strong>CLIENT<\/strong> reconna\u00eet et accepte que toute prestation command\u00e9e est due, m\u00eame si le salari\u00e9 inscrit n\u2019en a pas b\u00e9n\u00e9fici\u00e9 ou n\u2019en a b\u00e9n\u00e9fici\u00e9 que d\u2019une partie.<\/p>\n<p>Le CLIENT fera son affaire des \u00e9ventuelles pr\u00e9cautions pr\u00e9alables devant \u00eatre prises, en coordination avec les instances repr\u00e9sentatives comp\u00e9tente de l\u2019entreprise, telles que l\u2019obtention d\u2019un certificat m\u00e9dical d\u2019aptitude au sport.<\/p>\n<p>Le <strong>CLIENT<\/strong> garantit que <strong>HUMANFAB <\/strong>puisse utiliser l&rsquo;image collective de tout ou partie de ses salari\u00e9s utilisateurs de WORKCARE et de la structure \u00e0 des fins de communication. Un acompte de 50% sera factur\u00e9 \u00e0 la signature du pr\u00e9sent Contrat, le paiement duquel conditionnera la livraison.<\/p>\n<p>Le solde sera factur\u00e9 suite \u00e0 l\u2019installation du mat\u00e9riel et \u00e0 la formation du r\u00e9f\u00e9rent testing par les \u00e9quipes HUMANFAB. Il est payable \u00e0 r\u00e9ception par virement.<\/p>\n<p>Les factures de Licence mobile individuelle seront \u00e9mises tous les mois. Elles sont payables \u00e0 r\u00e9ception par virement ou par pr\u00e9l\u00e8vement automatique.<\/p>\n<p>Les factures de Licence annuelle HUMANFAB WORKCARE PC seront \u00e9mises \u00e0 la date anniversaire du contrat. Les d\u00e9lais de livraison indiqu\u00e9s par chaque fournisseur seront communiqu\u00e9s par <strong>HUMANFAB<\/strong> sur demande du <strong>CLIENT<\/strong>.<\/p>\n<p>Lors de la livraison, le <strong>CLIENT<\/strong> est tenu\u00a0:<\/p>\n<p>&#8211; au moment de la livraison, de v\u00e9rifier en pr\u00e9sence du transporteur que les mat\u00e9riels re\u00e7us ne soient pas endommag\u00e9s et qu\u2019aucun ne manque,<\/p>\n<p>&#8211; le cas \u00e9ch\u00e9ant, de consigner toute r\u00e9serve sur le bon de livraison correctement dat\u00e9 et sign\u00e9,<\/p>\n<p>&#8211; de notifier par \u00e9crit \u00e0 <strong>HUMANFAB<\/strong> dans les trois jours ouvr\u00e9s toute avarie ou perte partielle.<\/p>\n<p>En outre, conform\u00e9ment \u00e0 l\u2019article L133-3 du Code de commerce, il est rappel\u00e9 que la r\u00e9ception des objets transport\u00e9s \u00e9teint toute action contre le transporteur pour avarie ou perte partielle si dans les trois jours, non compris les jours f\u00e9ri\u00e9s, qui suivent celui de cette r\u00e9ception, le <strong>CLIENT<\/strong> n&rsquo;a pas notifi\u00e9 au transporteur, par acte extrajudiciaire ou par lettre recommand\u00e9e, sa protestation motiv\u00e9e. Si dans ce d\u00e9lai il est form\u00e9 une demande d&rsquo;expertise, cette demande vaut protestation sans qu&rsquo;il soit n\u00e9cessaire de proc\u00e9der comme il est dit au premier alin\u00e9a.<\/p>\n<p>La responsabilit\u00e9 de <strong>HUMANFAB<\/strong> ne saurait \u00eatre engag\u00e9e pour avarie ou perte partielle en l\u2019absence de faute de <strong>HUMANFAB<\/strong> et si le <strong>CLIENT<\/strong> n\u2019a pas respect\u00e9 la proc\u00e9dure expos\u00e9e ci-avant.<\/p>\n<p>Enfin, les Parties agissant en tant que professionnels, toute garantie autre que la garantie l\u00e9gale des vices cach\u00e9s au titre des articles 1641 et suivants du Code civil est exclue. Lorsque le <strong>CLIENT<\/strong> est un professionnel de m\u00eame sp\u00e9cialit\u00e9 que <strong>HUMANFAB<\/strong>, la garantie l\u00e9gale des vices cach\u00e9s est exclue.<\/p>\n<p><strong>HUMANFAB<\/strong> proc\u00e9dera \u00e0 la r\u00e9paration ou au changement des appareils plac\u00e9 \u00e0 la disposition du <strong>CLIENT<\/strong>, lorsqu\u2019ils subiront une panne. Tout acompte vers\u00e9 par le <strong>CLIENT<\/strong> restera acquis \u00e0 <strong>HUMANFAB <\/strong>\u00e0 titre d&rsquo;indemnisation forfaitaire, sans pr\u00e9judice de toutes autres actions qu&rsquo;il serait en droit d&rsquo;intenter de ce fait \u00e0 l&rsquo;encontre du <strong>CLIENT<\/strong>. En cas de revente des produits, le <strong>CLIENT<\/strong> est r\u00e9put\u00e9 avoir c\u00e9d\u00e9 \u00e0 <strong>HUMANFAB<\/strong> la cr\u00e9ance du prix sur tout tiers sous-acqu\u00e9reur. En cas de d\u00e9faut de paiement de l\u2019une des factures \u00e0 leur \u00e9ch\u00e9ance, le <strong>CLIENT<\/strong> perd, de plein droit, la facult\u00e9 de revendre ou de transformer le produit.<\/p>\n<p>En revanche, le risque de perte et de d\u00e9t\u00e9rioration sera transf\u00e9r\u00e9 au <strong>CLIENT<\/strong> d\u00e8s la livraison des produits command\u00e9s. Information des salari\u00e9s<\/strong><\/p>\n<p>Le <strong>CLIENT<\/strong> s\u2019engage \u00e0 avoir individuellement inform\u00e9 les salari\u00e9s des traitements de donn\u00e9es \u00e0 caract\u00e8re personnels qui vont \u00eatre r\u00e9alis\u00e9s au titre du pr\u00e9sent contrat, avant l\u2019intervention de <strong>HUMANFAB<\/strong> et sur le fondement du contrat qui le lie \u00e0 ses salari\u00e9s.<\/p>\n<p>Il devra leur \u00eatre pr\u00e9cis\u00e9 que leurs donn\u00e9es feront l\u2019objet de traitements par <strong>HUMANFAB<\/strong> dans le cadre de sa Politique de Confidentialit\u00e9, accessible \u00e0 l\u2019adresse <span><a href=\"https:\/\/www.humanfab.com\/politique-de-confidentialite\/\">https:\/\/www.humanfab.com\/politique-de-confidentialite\/<\/a><\/span> et leur permettre d\u2019en prendre connaissance. Cette information devra \u00eatre document\u00e9es et tenue \u00e0 la disposition de <strong>HUMANFAB<\/strong> sur simple demande.<\/p>\n<p>Le d\u00e9tail de l\u2019information des salari\u00e9s pourra faire l\u2019objet d\u2019une coordination pr\u00e9alable entre les Parties.<\/p>\n<p><strong>\u00a0<\/strong><\/p>\n<p><strong>2 &#8211; Conformit\u00e9<\/strong><\/p>\n<p>Chaque Partie s&rsquo;engage \u00e0 se conformer \u00e0 l&rsquo;ensemble des dispositions l\u00e9gales et r\u00e9glementaires applicables, en particulier le R\u00e8glement (UE) 2016\/679 du Parlement Europ\u00e9en et du Conseil du 27 avril 2016 (ci-apr\u00e8s, le \u00ab RGPD \u00bb) et aux dispositions de la loi n\u00b078-17 du 6 janvier 1978, modifi\u00e9e par la loi n\u00b0 2018-493 du 20 juin 2018 (ci-apr\u00e8s la \u00ab Loi Informatique et Libert\u00e9s \u00bb).<\/p>\n<p>Chaque Partie s&rsquo;engage \u00e9galement \u00e0 imposer des obligations identiques \u00e0 son personnel.<\/p>\n<p>Le <strong>CLIENT <\/strong>consent \u00e0 ce que <strong>HUMANFAB<\/strong>, au titre de l\u2019ex\u00e9cution du contrat, collecte, traite, stocke, communique ou archive des donn\u00e9es personnelles (au sens du RGPD) concernant ses salari\u00e9s dans la mesure o\u00f9 cette collecte, ce traitement, ce stockage, cette communication ou cet archivage seront n\u00e9cessaires pour ex\u00e9cuter le contrat.<\/p>\n<p>Cette ex\u00e9cution du contrat n\u00e9cessite que les donn\u00e9es soient trait\u00e9es par <strong>HUMANFAB<\/strong> en qualit\u00e9 de Responsable du Traitement pour permettre la mise en \u0153uvre de ses prestations qui adaptent les s\u00e9ances \u00e0 la forme du moment du salari\u00e9, lui permette la visualisation des r\u00e9sultats de ses tests et le suivi de l\u2019\u00e9volution de son entra\u00eenement, via le traitement de ses r\u00e9sultats personnels dans les bases de donn\u00e9es et par les algorithmes de <strong>HUMANFAB<\/strong>.<\/p>\n<p>Les Parties seront donc cotraitantes des donn\u00e9es issues de la r\u00e9alisation du pr\u00e9sent contrat auxquelles elles auront chacune acc\u00e8s et en cette qualit\u00e9 elles s\u2019engagent sans que cette liste soit exhaustive \u00e0\u00a0:<\/p>\n<p>&#8211; Tenir un registre des traitements et r\u00e9aliser les analyses d\u2019impact sur les traitements effectu\u00e9s qui pr\u00e9senteraient un risque pour la s\u00e9curit\u00e9 des personnes concern\u00e9es dont les donn\u00e9es sont trait\u00e9es ;<\/p>\n<p>&#8211; Traiter les donn\u00e9es uniquement pour la ou les seule(s) finalit\u00e9(s) qui aura\/auront \u00e9t\u00e9 list\u00e9es dans le registre ;<\/p>\n<p>&#8211; Faire prendre les m\u00eames engagements par leurs sous-traitants ;<\/p>\n<p>&#8211; R\u00e9aliser sous leur propre responsabilit\u00e9 toutes les d\u00e9marches, d\u00e9clarations et\/ou obtenir les autorisations concernant les traitements de donn\u00e9es \u00e0 caract\u00e8re personnel qu\u2019elles effectuent et dont elles pourraient avoir connaissance lors de leurs relations ;<\/p>\n<p>&#8211; Prendre en charge la gestion des dur\u00e9es de conservation des donn\u00e9es \u00e0 caract\u00e8re personnel ;<\/p>\n<p>&#8211; mettre en \u0153uvre les dispositions techniques et organisationnelles permettant de garantir la protection des Donn\u00e9es Personnelles d\u00e9tenues contre tout acc\u00e8s non autoris\u00e9 ainsi que contre toute violation, perte, divulgation non autoris\u00e9e ou destruction fortuite et alerter l&rsquo;autre Partie si l&rsquo;une de ces hypoth\u00e8ses se r\u00e9alise, afin que celle-ci puisse alerter les personnes physiques concern\u00e9es.<\/p>\n<p><strong>\u00a0<\/strong><\/p>\n<p>Chacune des parties se r\u00e9serve le droit de proc\u00e9der \u00e0 toute v\u00e9rification qui lui para\u00eetrait utile pour constater le respect des obligations pr\u00e9cit\u00e9es par l\u2019autre partie.<\/p>\n<p>Dans le cas o\u00f9 les personnes dont les donn\u00e9es sont trait\u00e9es souhaiteraient exercer leur droit, et notamment leur droit d&rsquo;opposition, d&rsquo;acc\u00e8s, de rectification, d\u2019effacement, de portabilit\u00e9 ou de limitation du traitement des donn\u00e9es, chaque partie a l\u2019obligation de donner suite aux demandes des personnes concern\u00e9es ou d\u2019assister l\u2019autre partie pour lui permettre de le faire, d\u2019une part, et d\u2019en informer le DPO de l\u2019autre partie, d\u2019autre part, si elle en a d\u00e9sign\u00e9 un et l\u2019en a inform\u00e9.<\/p>\n<p>Si l\u2019une parties devait r\u00e9aliser des traitements pour l\u2019autre en sous-traitance les parties s\u2019engagent \u00e0 signer un avenant sp\u00e9cifique.<\/p>\n<p>[\/et_pb_text][et_pb_text _builder_version=\u00a0\u00bb4.16&Prime; Les accords pass\u00e9s ant\u00e9rieurement entre les Parties et relatifs \u00e0 la n\u00e9gociation de cet accord sont caducs et remplac\u00e9s par le Contrat. En aucun cas, les documents \u00e9chang\u00e9s pendant cette n\u00e9gociation ne peuvent justifier que les Parties soient engag\u00e9es par des obligations non express\u00e9ment reprises et consacr\u00e9es par le Contrat.
